Terms of Service

Welcome to Cloud Merit Tech LLC (CMT). By requesting quotes, submitting purchase orders, utilizing our Microsoft CSP tenant provisioning, engaging our custom software development team, or purchasing hardware products, you agree to comply with and be bound by the following Terms of Service.

1. Scope of Service

Cloud Merit Tech acts as an authorized IT reseller, systems configuration partner, and systems integrator. Our services include:

  • Sourcing direct OEM hardware with full standard manufacturer warranties.
  • Provisioning corporate, education (SLED), and cloud licensing programs (Microsoft CSP, AWS, SaaS).
  • Pre-configuration, operating system deployment, asset tagging, and staging.
  • Custom IT development, applications engineering, and systems monitoring.

2. Quoting & Procurement

  • Quotes: Standard quotes are valid for the timeframe stated in the proposal document and are subject to component availability and vendor pricing adjustments.
  • Orders: Orders are confirmed only upon issuance of an official corporate Purchase Order (PO) or receipt of validated payment.
  • Payment Terms: For commercial accounts, payment terms are standard. For qualified state, local government, and education (SLED) agencies, Net 30/45 credit terms may be approved upon verification.

3. Shipping, Logistics & Staging

CMT coordinates direct and staged shipping options. All shipping and configurations are processed from our Texas warehouses. Staging requirements (OS images, BIOS specs) must be submitted and approved in writing prior to staging execution.

4. Warranties & Liability

All physical hardware products are backed exclusively by direct manufacturer warranties. CMT does not provide independent physical hardware warranties but will assist clients in coordinating warranty service with the respective OEM brands. Custom software development deliverables are governed by specific Software Service Level Agreements (SLAs).

5. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
